Can a nonprofit corporation be reactivated after it has filed Articles of Dissolution or a Certificate of Termination with the Secretary of State?
The Texas Non-Profit Corporation Act does not provide for a nonprofit corporation to revoke dissolution proceedings. Once the Secretary of State issues a Certificate of Dissolution, the corporation cannot be reinstated or reactivated. The Texas Business Organizations Code provides that a nonprofit corporation can revoke a voluntary decision to wind up at any time before a Certificate of Termination is filed. After a Certificate of Termination is filed, the corporation can be reinstated within 3 years under certain circumstances. See Form 811(Word 108kb, PDF 84kb).
