Why do we need the LOA to conduct the farming operations rather than permitting each Farm Owner to manage its Farm separately?
The Tenant intends to operate its agricultural business with a view toward netting cash proceeds for the collective benefit of the Farm Owners. Efficiency and simplicity dictate that a single set of agreements and a collective farming concept is more likely to be successful, and be less demanding on the community, than small separate farmsteads that may contain a large variety of activities. Although it is currently difficult to predict whether the Tenant will in fact generate revenues that exceed the expenses incurred, any excess cash would be available to offset other assessments that the LOA would otherwise impose on the Farm Owners. Even if no positive cash flow is obtained, it is believed that a collective arrangement in a single crop will prove less-costly to the Farm Owners than separate, smaller and potentially less-efficient operations, although there can be no assurance that this will prove to be the case.
