They are used because the struggling company does not have any cash or credit to buy merchandise or advertising. So the outside company does. They also bring in their own salespeople who have a reputation for saying anything to get a sale because they will have moved on to the next town by the time you realize you got screwed. Also, the masses are stupid and think they are getting something for nothing. This is rarely the case. The purpose of a GOB sale is to liquidate current inventory.
