Who has the final say, governors or the Board of Directors or Monitor?
The NHS Foundation Trust Code of Governance says the Board of Governors should establish a policy for dealing with any concerns about the Board of Directors, compliance with the terms of authorisation or the welfare of the Foundation Trust. It goes on to state: “The Board of Governors should inform Monitor if the trust is at risk of breaching the terms of its authorisation if these concerns cannot be resolved at a local level. Governors should acknowledge the overall responsibility of the Board of Directors for running the NHS Foundation Trust and should not try to use the powers of the Board of Governors to veto the decisions of the Board of Directors.” The Governors can remove the chairman or any non-executive directors but only after exhausting all other means of engagement with the Board of Directors.
