Who Gets the Dividend?
In terms of issuing dividends, the Newco model issues the delcared dividend pro rata to all shareholders according to the size of their shareholding. This can be modified in other ways but the Articles should always ensure that private investors get less than half of the dividend. If you stray over that limit you cannot meet the widely-accepted definition of a Social Enterprise. You will of course still be a company, doing wonderful things, but alas not a true Social Enterprise.
