Who administers the DRP for participants?
Bank of New York Mellon has been designated by us as our agent to administer the DRP for participants, maintain records, send regular statements of account to participants and perform other duties relating to the DRP. Shares of Class A common stock purchased under the DRP will be held by the administrator as agent for participants and registered in the name of the administrator or its nominee. The administrator also serves as transfer agent for Piedmont’s common stock. Should the administrator resign, or be asked to resign, another agent will be asked to serve.
