Where should the table of contents go?
The SEC prefers that the table of contents should immediately follow the cover page but will permit it on either the inside front or outside back cover page of the prospectus. If a prospectus is delivered to investors electronically, the table of contents must be included immediately after the cover page in order to avoid having to scroll to the end of the document in order to find the table of contents.
