Before a company has an Initial Public Offering (i.e. IPO, or they “go public”), they file a prospectus with the SEC. These prospectuses are available through the SEC’s EDGAR database, and also from the investment bankers underwriting the offering. VAL receives a copy of each prospectus and reviews it. We then record any transactions involving the company’s stock, stock options or convertible preferred stock prior to going public (i.e. when it was still a private company).
