What will I receive for my Pharmion shares as a result of the Celgene acquisition?
Under the terms of the merger agreement, each share of Pharmion common stock will be exchanged for $25.00 in cash and 0.8367 shares of Celgene common stock. Pharmion stockholders will not receive any fractional shares of Celgene common stock. Instead, any stockholder who would otherwise be entitled to a fractional share of Celgene common stock will receive an amount in cash (rounded down to the nearest whole cent), without interest, equal to the product of such fraction multiplied by $56.17.
