Statutory meeting is a General meeting of the members of a company conducted as required under section 165 of the Companies Act. It should be conducted within six months from the date at which the company is entitled to commence business. Atleast twenty one days prior to the date of the meeting a Statutory Report would have been forwarded to every member of the company. Report along with several other things will also contain the details as to the receipt of cash for the shares issued and payments made. The main pupose of the meeting is to discuss any matter relating to the formation of the company and matters arising out of the Statutory Report. Thus the agenda for the meeting is discussion of the matters mentioned above and adoption of Statutory Report. Anything connected to the company and its formation can be discussed, but no resolution will be passed unless a notice is given earlier to that effect.
