For business corporations, Georgia law requires that the Articles of Incorporation include the name of the corporation, the number of shares the corporation is authorized to issue, the street address and county of the corporations registered office, the name of the registered agent at that office, the name and address of each incorporator, and the mailing address of the initial principal office of the corporation. These are minimum requirements according to O.C.G.A. 14-2-202. There are many more items that may be included and the incorporator should discuss this matter with legal counsel. Please Note: Bylaws and shareholders information are not filed with the Secretary of States office. Instead, they are maintained by the corporation.
