What is ThyssenKrupps opinion of the German Corporate Governance Code?
ThyssenKrupp has always been guided by internationally and nationally recognized standards of good and responsible corporate management. On April 30, 2003 the Executive Board and Supervisory Board of ThyssenKrupp AG declared and subsequently disclosed the company’s full compliance with the recommendations of the Government Commission on the German Corporate Governance Code in accordance with Art. 161 Stock Corporation Act (AktG) for the first time. ThyssenKrupp AG continues to comply with the recommendations and suggestions of the German Corporate Governance Code as amended on May 26, 2010. The only Code recommendation currently not complied with is the amendment introduced in May 2010 which states that members of the Management Board of a listed company shall not accept more than a total of three Supervisory Board mandates in non-group listed companies or in supervisory bodies of companies with similar requirements.
