The Executive Board is responsible for managing the overall affairs of the Corporation. The Executive Board serves as the trustees as defined in the Act. Two definitions in the Act apply to this. First the Act defines Board as the board of trustees or group of persons vested with management of the business and affairs of the corporation irrespective of the name by which the group is designated. The Act then defines trustee as any member of the board of a corporation, whether designated as a trustee, director, manager, or by any other title. Since the definitions and titles can be confusing, we put a specific provision in Article 2.1 of the By-Laws to clarify this.
