With effect from 1 April 2004, a company can have one director, who must be “ordinarily resident in Singapore” i.e. a Singapore Citizen, a Singapore Permanent Resident, a Singapore Employment Pass Holder, an Approval-In-Principle Employment Pass Holder or a Dependent Pass Holder. Any person above the age of 21 may be appointed as a director. Every company must have at least one secretary appointed within 6 months of the date of incorporation. However, a private company, other than that required under Section 171(1AB) of the Companies Act, need not appoint a professionally qualified company secretary.
