What is required to form a LLC or corporation (C Corp or S Corp)?
These business entities are all registered with the state of operation, or their home state, so they are state business entities registered with the Secretary of State’s office. The first step with clients is usually having a clear understanding of the advantages and disadvantages of the different business entities applied to their individual business. After this counseling effort is complete and a business entity is decided upon by the client, then each state has specific filing requirements for the respective entity. Most of this filing can be done electronically with the states of Missouri and Kansas, and the corresponding fees are paid to the state to form the entity. Each entity should have a governing document for the entity’s members and the organization. With an LLC there should be an operating agreement between all the members of the LLC. With corporations there should be bylaws created to govern the shareholders’ interests, and the proper tax filings will need to be completed
