Each $1,000 in principal amount of notes is convertible into 37.4813 common shares of IAC (IACI) and 37.4813 common shares of Expedia, Inc. (EXPE). These terms reflect IAC’s acquisition of Ask Jeeves on July 19, 2005, IAC’s reverse 1-for-2 stock split and the spin-off of Expedia on August 9, 2005.
