What control does the bidder have over the target during the process?
UAE None, an acquirer (either by way of merger or a straight acquisition of shares) obtains control once the transaction completes (see paragraph 7.3). However, the parties may agree certain contractual rights and controls that need to be adhered to during the period pending completion of the transaction. DIFC If a bidder already has sufficient voting rights in a target it may have some element of control during the process (for example, the ability to block special resolutions) but otherwise the bidder will have no control over the target other than through any stipulated conditions.
