Each share of Common Stock is entitled to one vote and each share of Series B Stock is entitled to two votes. HOW DO SHAREHOLDERS VOTE? Shareholders may vote at the Meeting in person or by proxy. Proxies validly delivered by shareholders (by Internet, telephone or mail as described below) and received by VF prior to the Meeting will be voted in accordance with the instructions contained therein. If a shareholder’s proxy card gives no instructions, it will be voted in accordance with the recommendation of the Board of Directors.
