The rights to purchase shares of preferred stock of Prima were issued to all holders of shares of Prima common stock in connection with the adoption by Prima in May2001 of a rights plan (sometimes colloquially known as a “poison pill”), but currently are not represented by separate certificates. Instead, they are represented by the certificate for the shares of Prima common stock. Unless the rights are distributed to the holders of Prima common stock, a tender of Shares will include a tender of the associated rights.
