What are the Articles of Organization and Operating Agreement?
The Articles of Organization contain information that all states need in order to form your LLC. Generally included in the articles are items such as: the name and purpose of the LLC, the names of the initial members, and the name and address of the Registered Agent. The Operating Agreement is similar to the bylaws of a corporation. It contains the general rules that govern the operation of the LLC, including rules about member voting, required meetings, transfer of membership interests, and management of the LLC. Like bylaws, an operating agreement is intended for use within the LLC, and is generally not filed with the State.
