A hurdle rate is the minimum return the fund must achieve before the profit allocation is generated and paid to the manager or general partner. A high water mark means that the manager will only receive a profit allocation once the value of the investment is greater then the previous greatest value. Should the investment drop, then the manager must return the investment to the previous high value before they can receive any profit allocations again.
