Your 401k contributions (both your contributions from your pay as well as your employer’s contribution) are not included in your income for purposes of determining your eligibility for contribution to a Roth IRA. For 2008, your modified adjusted gross income cannot exceed $101,000 ($159,000 if married filing jointly) in order to make a maximum contribution to your Roth IRA.
