Tabulation sounds easy. Why don companies do it themselves?
Some companies do tabulate their own proxy cards. One complexity is in the fact that each stockholder typically gets a number of votes corresponding to the number of shares he or she owns; a stockholder with 10 shares gets 10 votes and a stockholder with 50 shares gets 50 votes. This process can be complicated and not all companies have the resources required to guarantee the accuracy required, nor the experience to handle the other complexities of a routine tabulation.
