This was selected as Best Answer The Corporations Codes and comparable statutes in most states permit board meetings by remote attendance so long as it is written into the constitutive documents of the corporation or other business or non-profit organisation, association, etc. Thus, meetings can be held by conference phone call, video-conferences, or electronically by e-mail, chat facility, etc. The requirement is that all participants must be able to participate, i.e. everyone must be able to see, hear or read what all the other board members are saying. For electronic meetings, there must be a proper notice given as a face-to-face meeting and the meeting must be quorate. All decisions are by a majority of those in attendance and, to be binding, the decisions should be recorded in writing and signed evidence of participant’s vote should be memorialised in the minutes of the next meeting.
