For electronic meetings, there must be a proper notice given as a face-to-face meeting and the meeting must be quorate. All decisions are by a majority of those in attendance and, to be binding, the decisions should be recorded in writing and signed evidence of participant’s vote should be memorialised in the minutes of the next meeting.
