The staff recommends that the document signature be the typed signature of the person holding the power of attorney. The remainder of the signature line would then indicate that the person is signing on behalf of the named officer, director or more than 10 percent shareholder under a power of attorney. For example, “John Jones, by power of attorney,” where John Jones holds power of attorney for insider Susan Smith.
