How many members are on ICF’s Board of Directors and how many are outside directors?
ICF’s Board of Directors is comprised of six members. Two members are outside directors. Listing requirements under NASDAQ exchange rules requires ICF to have a Board with a majority of independent members. Independent members must not be employed by ICF currently or within the past three years and must be less than ten percent shareholder. Currently, we have not achieved this state, but we intend to comply with this ruling within the allotted timeframe.
