How is the management compensation package structured?
We compensate management with both cash and equity incentives, and generally speaking will maintain the compensation structures that are already in place at the Company. Managers continue to receive their salary and we typically have an annual bonus plan based on achieving agreed upon earnings targets for the year; the bonus can be a substantial part of the total annual compensation. In addition, management is given the opportunity to invest alongside Quad-C on the same basis and terms in the Company, and purchased equity is supplemented with participation in a stock option program.
