The Articles of Incorporation for a Professional Corporation (and Certificate of Organization for a PLLC) are typically required to describe the particular ‘licensed profession’ the corporation (or PLLC) is authorized to practice, as well as other provisions required by State law: 1. Restricting other business activities; 2. Restricting stock ownership to members of the license profession; and 3. Restricting who may act as directors, officers and managers of the Professional Corporation (or PLLC).
