IRS Form 1099-CAP, entitled “Changes in Corporate Control and Capital Structure,” is sent to stockholders of a corporation that experienced a change in control or capital structure because the corporation has determined that the shareholder must recognize a gain from the receipt of cash or stock that was exchanged for the corporation’s stock. Call (800) TAX-FORM or visit the IRS online form ordering website (see resources below) to obtain acceptable copies of Form 1099-CAP to send to recipients.
