Note: The tax consequences of the Del Monte/Heinz transaction are described in detail in the Proxy Statement/Prospectus, dated November 19, 2002, provided to both Heinz Shareholders and Del Monte Shareholders, in the section entitled, “U.S. Federal Income Tax Consequences of the Spin-Off and the Merger.” In addition, to your review of that section, we strongly recommend that you consult with your tax advisor and/or accountant in regard to the tax consequences of the transaction that may be applicable to your personal situation.
