No fractional shares of new common stock or fractional new warrants will be distributed under the Plan. Instead, fractional shares will be rounded up to whole shares starting with the largest fractional share and continuing until all remaining unallocated whole shares have been allocated. A threshold level will be established, whereby any holder who did not own at least 41 shares of old common stock will have its fractional share of new common stock cancelled instead of rounded up to a whole share. Fractional warrants will be treated in the same manner and any holder who did not own at least 39 shares of old common stock will have its fractional new warrant cancelled instead of rounded up to a whole warrant. As a result, holders of old common stock who did not own a minimum 39 shares will not receive any distribution.
