The Secretary of State has adopted a number of forms that meet the minimum statutory filing requirements for certain specific types of mergers and conversions that are governed by the Texas Business Organizations Code (BOC). (Forms 621-644) Use of these forms is optional. The forms comply with the requirements of the BOC, so the forms may not meet the needs of your specific transaction. These forms are not designed to meet the filing requirements governing non-Code organizations or other jurisdictions. If an entity is not governed by the BOC, it cannot use the Secretary of State merger or conversion forms. If a Texas filing entity would like to be governed by the BOC, it must follow the procedures to approve the adoption of the BOC (BOC § 402.003) and file a Statement of Early Adoption (Form 808) with the Secretary of State.
