The filing fees for dissolving a corporation are determined by each state. California does not charge a filing fee to dissolve a corporation. You may need the assistance of an attorney or accountant to prepare the dissolution documents, particularly if you are in a state that imposes franchise or income taxes on corporations. Typically, such states require that a certificate be obtain from the states tax agency before the corporation will be permitted to dissolve. The certificate indicates that the corporations final taxes have been paid or the payment has been secured. In California, a tax clearance certificate must be obtained from the Franchise Tax Board.
