Does anybody know any cases where share issue structured to record premium within distributable reserves?
There may be an alternative solution available. Under the Companies Act 2006 the procedures for carrying out a capital reduction (such as the transfer of share premium to distributable reserves) have been greatly simplified and may not need any court involvement. In some circumstances this may only require the submission of directors’ liquidity statements to Companies House. I’m not an expert in the detail of how to go about this but it may be something to look at.
