Does an LLC have a Board of Directors?
An LLC does not have a board of directors. An LLC can be member-managed or manager-managed. In a manager-managed LLC, management authority lies with a board of managers, who do not necessarily have an ownership stake in the LLC. If the LLC is member-managed, the members (who are the owners) run the company. If a board is planned, it will be included in the LLC’s organizational plan upon initial filing with the state, and outlined in the written structure of the LLC.
