Can the tender offer be extended and under what circumstances?

0

Yes. We have agreed in the merger agreement that we will extend the tender offer beyond Monday, January8, 2007 for successive periods of ten business days each, if any of the conditions to the tender offer (including the minimum condition) have not been satisfied or waived as of any then scheduled expiration date for the tender offer in order to permit the satisfaction of the conditions to the tender offer. In addition, we may extend the tender offer for any period as may be required by any applicable rules or regulations of the U.S. Securities and Exchange Commission (the “SEC”).
