Can the Memorandum & Articles be changed to include board members names? Also can the quorum be changed?
A4 The draft constitutions are intended to be model constitutions not prescribed standard constitutions. They therefore provide an appropriate starting point for any particular requirements (while they are also intended to serve, in appropriate cases, as reasonably straightforward, reasonably standard and therefore appropriate constitutions for adoption in the proposed form). It is possible to specify the names of board members in the Articles, though this would usually be considered inappropriate because it would require any change to the board to be reflected in/achieved by formal constitutional amendment. Another possibility is where it is intended that a position on the board to be filled by the holder of an outside position, by virtue of that other position (“ex-officio”), in which case the outside position could be specified constitutionally. On occasion outside organisations (and occasionally individuals) have power of appointment to particular board positions. It would be appro
