Yes. DHC will remain an independent non-profit medical practice group organization. Most of the services of its Manchester-based physicians will be leased to the Manchester System through an amended professional services agreement with AHS. The articles of agreement and bylaws of AHS will be amended to reflect that AHS will be a multi-specialty group practice-oriented organization, and the parties contemplate requesting an IRS ruling that the Affiliation will not adversely affect the tax-exempt status of any of the parties, including DHC.
